Insiders claim struggling Australian free-to-air TV group Ten Network’s board and management are keen to see it delisted. Some four tenths of its issued scrip is already held by just four major investors, in the shape of Lachlan Murdoch, James Packer, Gina Rinehart and Bruce Gordon. There are now rumours that US-based Providence Equity Partners is interested in taking Ten private, and has held talks with it. The media company has recruited law firm Gilbert + Tobin and investment bank City as advisers on any sale plans

NAB’s UK exit plan buoyed by TSB surge

Lloyds Banking in the UK has successfully hived off its TSB business, which now has a market capitalisation of Stg1.3bn ($A2.35bn). The issue price per share was Stg2.60, but on the listing date of 20 June 2014 the stock closed at $A2.90. Lloyds also said that the initial public offering was 10 times oversubscribed. The news is a boost to the plans of National Australia Bank for selling off its under-performing Clydesdale Bank assets in the UK. Clydesdale has achieved a turnaround as well, to record a March 2013 half-year profit after problem debts declined

Lew ups stake in DJs to 9.9pc

The takeover worth $A2.2bn of Australian department stores chain David Jones (DJs) by South Africa’s Woolworths will need to be approved by DJs shareholders in a vote on 30 June 2014. However, a complication may have arisen under collateral benefits law, as retailing sector stalwart Solomon Lew has disclosed he now holds 9.9% of the target. While his motives are not clear, there is speculation he wants to push Woolworths into buying his 11.8% blocking stake in Country Road. Such a side deal would attract scrutiny by the Australian Securities & Investments Commission and the Takeovers Panel

Shell deal may hurt Woodside growth plans

The stock of Australian-listed energy group Woodside Petroleum on 18 June 2014 closed $A1.95 lower at $A40.90. This compares with a price of $A41.35 for the institutional investors acquiring scrip in the partial divestment of its Woodside stake by Royal Dutch Shell. As part of the reduction from 23.1% to less than 4.5%, Shell is also selling $US2.68bn ($A2.86bn) worth of stock back to Woodside. Experts warn this may hamper the latter’s acquisitions strategy. Disclosure breaches cost Newcrest $1.2m

Gold mining sector leader Newcrest Mining has admitted it engaged in the selective briefing of analysts in 2013. The penalty agreed on in a compromise with the Australian Securities & Investments Commission (ASIC) and still to be ratified by the Federal Court is $A1.2m, an all-time high for such a continuous disclosure rules breach. Newcrest also faces the threat of a class action law suit launched on behalf of affected investors by Slater & Gordon. The mining group had staged its own investigation of the breach, with Prime Minister’s Business Advisory Council chair Maurice Newman clearing it. However he did not have the same powers as ASIC

QBE eyes up RSA’s Asia division

Australian insurance analysts have downplayed speculation that QBE Insurance Group could bid for the Asian arm of UK-based RSA Insurance Group. The business is expected to fetch up to $A500m, and media reports have identified QBE as a potential buyer. However, Ross Curran of the Commonwealth Bank says QBE is likely to focus on consolidating its existing operations instead of seeking acquisitions

Banks still protected from start-ups

Banks have spent billions on technology, but they are still vulnerable to competition from start-ups in the field of new banking technologies. The issue was discussed at a forum held in Sydney on 17 June 2014. Paul Bassat, co-founder of SEEK and Square Peg Capital, said that start-ups were particularly active in developing new technologies that facilitate payments and peer-to-peer lending. The position of banks is however so strong that disruption in the banking sector is not an immediate issue

Shell out: Woodside’s new era

Royal Dutch Shell will receive $US2.68bn ($A2.86bn) from Australian-listed Woodside Petroleum, for 9.5% of the latter’s stock at a price per share of $A36.49. Shell will also divest a tranche of the same size at $A41.35 to institutional investors, and reduce its holding in Woodside to no more than 4.5%. The Australian Taxation Office has given Woodside permission to use franking credits in order to lower the price by 14%. CEO Peter Coleman notes the more efficient capital structure being created by the stock repurchasing move, and says it will have no adverse impact on exploration or acquisitions

Atlassian co-founder cools down IPO hype

Australian software developer Atlassian was valued at $US3.3bn ($A3.5bn) in April 2014. Co-founder Mike Cannon-Brookes has downplayed ongoing speculation about a sharemarket float, saying an IPO may occur when the time is right. He adds that he and co-founder Scott Farquhar may choose not to pursue an IPO at all. Cannon-Brookes has defended the decision to relocate Atlassian’s headquarters to the UK, saying this would make it easier to seek a US listing than if it remained in Australia

Fraudulent transactions on lost or stolen cards on the increase

Data from the Australian Payments Clearing Association shows that 162,896 transactions were made using lost or stolen credit cards in 2013, which is 94 per cent higher than previously. The amount of money lost through card fraud rose by 16 per cent to $A304m, including some $A219.7m worth of fraudulent transactions that were carried out online. So-called "skimming" of credit cards cost $A37.2m in 2013
