Wesfarmers CEO Rob Scott says that Australia’s first recession in three decades requires a new approach to industrial relations. He says the ‘better off overall test’ in the Fair Work Act in particular is a hindrance to finalising enterprise bargaining agreements. He argues that employees and businesses alike benefit from EBAs if they are structured in the right way. Wesfarmers’ trading update shows that Bunnings has recorded sales growth of 11.3 per cent so far in 2019-20, while Kmart’s sales are up 6.1 per cent.

Shares in Kidman Resources rose 45 per cent to close at $1.87 on 2 May after conglomerate Wesfarmers made a $776 million takeover bid for the lithium miner. Kidman’s main asset is a 50 per cent stake in a Western Australian lithium project, and joint venture partner SQM supports Wesfarmers’ bid. Wesfarmers CEO Rob Scott says that despite the Kidman bid, its takeover bid for rare earths producer Lynas Corporation remains on the table.

Rare earths miner Lynas Corporation has rejected an unsolicited $1.5bn takeover bid from Wesfarmers. Lynas CEO Amanda Lacaze has also criticised Wesfarmers’ move to engage directly with the Malaysian government regarding Lynas’s processing plant in Kuantan, stating that the conglomerate cannot speak on behalf of the company. Meanwhile, stockbroking firm Morgans has cited factors such as the political risk in Malaysia for its decision to downgrade its recommendation on Wesfarmers shares from ‘add’ to ‘hold’.

Perth-based conglomerate Wesfarmers has posted a 2017-18 net profit of $A1.19bn, which is 58.3 per cent lower than previously. Wesfarmers’ underlying net profit from continuing operations exceeded market expectations at $2.9bn. MD Rob Scott has indicated that surplus capital following asset sales and the Coles demerger will be returned to shareholders.

Seven Group Holdings CEO Ryan Stokes says a merger between a newspaper publisher and a TV network could have synergies, although he argues that such deals should only proceed if they will deliver value for shareholders. Stokes notes that the cross-media model has worked well for Seven West Media, which owns newspaper assets in Western Australia. Stokes has also indicated that Seven Group is likely to eventually offload its investment portfolio and reinvest the proceeds in "active" assets.

Wesfarmers CEO Rob Scott says he does not intend to make acquisitions just for the sake of it once the conglomerate has completed its demerger of Coles. Speaking on the release of Wesfarmers’ retail sales figures for the March quarter, he rejected rumours that it is interested in Fletcher Building. Outgoing Coles managing director John Durkan rejected claims that it had been increasing prices in an attempt to boost margins, noting that it cut the price of 500 products during the March quarter.

Coles’ capital structure key to Wesfarmers demerger success

Original article by Sue Mitchell

Wesfarmers will retain a shareholding of up to 20 per cent in Coles and a seat on its board if the proposed demerger proceeds. David Errington from Bank of America Merrill Lynch does not endorse this idea, saying it would be better for Coles long-term if it has an independent board and share register. Investors and analysts are of the view that the potential for Coles to succeed once the demerger is completed will depend largely on its balance sheet and capital structure.
