News Corp fury after ISS urges vote against Lachlan Murdoch

Institutional Shareholder Services says News Corporation shareholders should vote against chairman Lachlan Murdoch at the media group’s upcoming annual meeting. ISS has expressed concern that Murdoch’s $5bn bid to gain control of the family’s stake in News Corp and Fox Corp had included pledging $US1bn ($1.5bn) worth of the companies’ shares as collateral; the firm contends that the pledging of company stock by directors or executive officers can pose a risk to the investments of outside shareholders. However, News Corp has accused ISS of using ‘arbitrary metrics’ to misrepresent and overstate the pledge’s applicability to Murdoch, noting that he Lachlan did not own the shares directly and only held a one-third interest in the company that did via a trust. ISS has also recommended voting against the re-election of three other members of News Corp’s board.

Rupert Murdoch steps down as chairman of Fox Corporation and News Corp

Media mogul Rupert Murdoch says the time is right for him to take on new roles at News Corp and Fox Corp. The 92-year-old has advised that he will formally step down as chairman of both companies at their AGMs in November. Murdoch will become Chairman Emeritus at both companies, and he emphasises that he will continue to take an active role in the "contest of ideas" at the media groups. His son Lachlan Murdoch will become the sole chairman of News Corp and continue in his role as executive chairman and CEO of Fox Corp. Rupert Murdoch says both himself and the companies he founded are in "robust health". However, he warns that the battle for freedom of speech and freedom of thought has never been more intense.

James Murdoch quit the board of News Corporation in June, having at one point of time hoped to lead the media company. Murdoch cited differences in certain content published by some of its news outlets, along with some other strategic decisions, as his reason for leaving at the time. He has established a company called Lupa Systems, while his investments include a comic company whose publisher once worked for Marvel. Murdoch says he decided to leave News Corp because he believed he could be "more effective outside" the company, while friend Matthew Vaughn believes that Murdoch will now start his own empire.
