Woolies finalises hardware sell-off

The hardware division of Metcash will boast sales of $A2.2bn following the completion of a deal to acquire the Home Timber & Hardware business from Woolworths. The expanded division will comprise about 800 retail stores and a hardware wholesaling business. Woolworths is still engaged in legal action with joint venture partner Lowe’s regarding its exit from the ill-fated Masters Home Improvement business.

Woolies’ ‘plan B’ on Masters exit

Documents filed in the Federal Court outline the strategies that Woolworths allegedly devised in order to withdraw from its Masters Home Improvement venture with Lowe’s. The US company is seeking to wind up the Masters joint venture company, Hydrox Holdings. Lowe’s claims that amongst other things, Woolworths made plans to terminate the joint venture agreement and sell Hydrox’s assets if the Lowe’s nominees on the Hydrox board did not agree to the sale of the joint venture company’s assets.

Woolies nets $1.5b as it exits from hardware

Australian-listed retailer Woolworths has advised that its Masters Home Improvement stores will be closed by mid-December 2016. Woolworths will sell the Home Timber & Hardware business to Mitre 10 owner Metcash for $A165m. Meanwhile, the Home Consortium will pay $A725m for 61 Masters stores and 21 development sites, with plans to convert the stores into large-format retail centres with multiple tenants. In a separate deal, the Australian arm of US auction house Great American Group will pay about $A500m for the Masters hardware inventory.

Hardware merger is ‘the better of two evils’

Mitre 10 boasts a three per cent share of Australia’s hardware market, but this would rise to five per cent if it acquired Woolworths-owned Danks. Hardware retailer John Dahlsen believes that the Australian Competition & Consumer Commission should approve any merger between the two groups. He argues that an enlarged Mitre 10 could reduce its wholesale costs, which could in turn make the independent hardware retailers that it supplies more competitive against Bunnings.

Woolies hit by ratings downgrade

Standard & Poor’s has reduced the long-term credit rating of Woolworths from "BBB+" to " BBB". S&P had previously downgraded the Australian retail giant’s credit rating in August 2015. Rival ratings agency Moody’s will also review its "Baa2" rating on the stock, having downgraded it from "Baa1" in March 2016. The bearish sentiment follows Woolworths’ disappointing financial results for the March quarter. Analysts in turn have reduced their earnings forecasts for 2016 and 2017.

Blackstone measures Masters as retailers weigh up sites

US private equity firm Blackstone Group has declined to comment on speculation that it may seek to acquire either the Masters Home Improvement business itself or its portfolio of stores. Meanwhile, Costco and Ikea are among the big-box retailers that are believed to be considering taking over some of the Masters stores, while Bunnings could potentially acquire about 25 outlets. David Errington of Bank of America Merrill Lynch estimates that Woolworths could recover around $A1bn from divesting its home improvement assets.

Allan Gray MD Simon Mawhinney says a merger between Metcash’s Mitre 10 business and the Home Timber & Hardware division of Woolworths could be a good deal if it was secured at an appropriate price. The future of the Home business is uncertain following Woolworths’ decision to exit the ill-fated Masters Home Improvement joint venture. Metcash has been touted as a potential buyer of Home, and it is said to have initiated talks with Woolworths on such a deal in mid-2015.

Woolworths struggles to hire CEO

An overseas candidate is likely to succeed Woolworths CEO Grant O’Brien, after no local executives expressed interest in the role. Woolworths is believed to have identified about five potential candidates from the UK, Europe and North America. Chairman Gordon Cairns had originally indicated that he aimed to install a new CEO by March 2016, but he has conceded that the selection process may take longer as overseas candidates are being interviewed in person rather than by video link.

Not quite Masters of the (hardware) universe

A Roy Morgan Single Source survey has found that 7.9 per cent of Australians aged 14+ visited a Masters store in any given four weeks during the year to September 2015. This compares with 2.5 per cent in the year to September 2012. The number of Australians who visited a Mitre 10 store fell from 10.6 per cent to 9.1 per cent over the same period. The survey also shows that Queenslanders (in all locations) are 43 per cent more likely than the average Australian to shop at Masters, followed by Melburnians (41 per cent) and Perth residents (30 per cent).

Masters rollout ‘too aggressive’

Australian-listed Woolworths and US-based Lowe’s have invested some $A3.48bn in the Masters hardware joint venture since 2009. The 33.3 per cent stake of Lowe’s has a book value of nearly $A900m, and the company has advised that its accounts for the December 2015 quarter will include a write-down of its investment. Meanwhile, Colleen Penhall of Lowe’s says the joint venture partners were too aggressive in their initial approach to opening Masters stores.
