The stock of Ten Network on 4 December 2014 closed $A0.025 lower at $A0.20, as investors assessed the modest offers made by takeover suitors. Pay TV group Foxtel has formed an alliance with US-based Discovery Communications to launch a bid worth $A590m for the free-to-air TV business, and a briefing on the proposal has been given to the Australian Competition & Consumer Commission by Foxtel’s legal counsel. Meanwhile Foxtel CEO Richard Freudenstein says a recent discounting campaign has brought a marked increase in new subscriber growth

Shareholders target Voelte in Nexus bid

Conglomerate Seven Group Holdings plans to take over Nexus Energy for $A180m, following the latter’s collapse after its board rejected an offer by Seven worth just $A0.02 a share. The fact that Seven CEO Don Voelte also had the role of chair at the gas group has sparked complaints by Nexus investors to the Australian Securities & Investments Commission. Foxtel-Ten alliance would face scrutiny

It was claimed in the media that Foxtel contemplated a bid for the Ten Network in conjunction with Providence Equity Partners. It is said that the pay-TV group might form a marketing or content alliance with Providence if the US private equity group makes an offer for Ten. Regulators are likely to pay close heed to any alliance between Foxtel and Providence. Foxtel is prohibited by law from owning more than 15 per cent of the commercial TV broadcaster

ACCC orange light on Wotif takeover

The Australian Competition & Consumer Commission (ACCC) had been widely tipped to approve Expedia’s acquisition of Wotif.com. However, the competition regulator has expressed concern that the $A703m deal may lead to an increase in commission rates in the accommodation sector. The ACCC has noted that Wotif.com’s low commission rates may have influenced rivals such as Expedia to offer lower rates in Australia than in other markets

David Jones’ investors to vote

Stockholders in Australian-listed department stores chain David Jones (DJs) will vote on 14 July 2014 on the takeover bid worth $A4 a share by South African retailer Woolworths. It needs 50% of investors to approve it and 75% of stocks to be voted in favour, and may need to rely on entrepreneur Solomon Lew. He has built a stake of at least 9.9% in DJs, and has extracted a promise from Woolworths to also buy his 11.8% holding in Country Road. Woolworths has 88% of that entity. Lew has made no comment on which way he will vote, while the Australian Securities & Investments Commission may challenge the Country Road side deal in the Federal Court
