Santos shares slip as Harbour stands firm

Analysts differ on the merits of Harbour Energy’s bid for Santos, after the suitor submitted a binding offer for the oil and gas group. Harbour Energy has formally offered $US4.98 per share, which equates to about $A6.63 per share and is the same price as it had initially proposed. James Byrne of Citigroup and Andrew Hodge of Macquarie Equities expect Santos directors to reject the bid, although the Hayberry Global Fund’s Matthew Blumberg says the bid is "probably fair". Santos shares closed 1.9 per cent lower at $A6.20 on 17 May.

No deal on takeover, says Santos

Santos has downplayed media reports which suggested that Harbour Energy has struck a deal with two Chinese investors in the oil and gas group. Santos has indicated that the incorrect media reports were based on a mistranslation of ENN Holdings’ Shanghai Stock Exchange announcement. ENN and Hony Capital have a combined stake of 15.1 per cent in Santos. Harbour Energy has yet to make a formal offer for Santos, although it has undertaken due diligence.

Co-operative Harbour advances Santos bid

Harbour Energy has secured an indirect stake in Santos of 15.1 per cent after striking an agreement with the oil and gas group’s Chinese shareholders, ENN and Hony Capital. Santos CEO Kevin Gallagher has advised that Harbour Energy has completed due diligence, although it has yet to make a formal offer for the oil and gas group. Santos shares closed at $A6.23 on 15 May, and analysts say Harbour Energy may need to increase its initial offer if it opts to make a formal bid.

Stokes sees value in media mergers

Seven Group Holdings CEO Ryan Stokes says a merger between a newspaper publisher and a TV network could have synergies, although he argues that such deals should only proceed if they will deliver value for shareholders. Stokes notes that the cross-media model has worked well for Seven West Media, which owns newspaper assets in Western Australia. Stokes has also indicated that Seven Group is likely to eventually offload its investment portfolio and reinvest the proceeds in "active" assets.

Hywood signals Fairfax open to merger with free-to-air television network

Fairfax Media CEO Greg Hywood says the company is well-placed to capitalise on industry consolidation in the wake of cross-media ownership reforms. He has also argued that mergers between print and broadcasting companies are possible, although all interested parties would have to benefit from any such deal. Meanwhile, Fairfax has advised that group revenue fell by one per cent during the first 17 weeks of the second half of 2017-18; its Australian Metro Media division’s revenue was about two per cent lower than the same period in 2016-17.

Alinta Energy turns up heat on AGL with $250m Liddell bid

Ian Myles of Macquarie Group says Alinta Energy’s offer to buy AGL Energy’s Liddell coal-fired power station is "opportunistic", while Mark Busuttil of JP Morgan adds that AGL would be unlikely to consider such a low offer. AGL itself has repeatedly stressed that Liddell is not for sale as the power station will be required until its scheduled closure in 2022, with the site to then be used to generate renewable energy. Alinta recently signalled its intention to make a formal offer to buy Liddell.

Healthscope $6 billion bid ‘opportunistic’, but worth a look

Private hospital operator Healthscope has received a $A4.1 billion takeover bid from a private equity consortium led by BGH Capital. Other members of the consortium include AustralianSuper and the Ontario Teachers’ Pension Plan Board. They are offering $A2.36 per share in cash, as well as taking on around $A1.7 billion in debt. Australian Ethical Investment fund manager Andy Gracey considers the bid to be "opportunistic", but one that investors with a more short-term view may consider.

Wesfarmers CEO resists M&A pressure

Wesfarmers CEO Rob Scott says he does not intend to make acquisitions just for the sake of it once the conglomerate has completed its demerger of Coles. Speaking on the release of Wesfarmers’ retail sales figures for the March quarter, he rejected rumours that it is interested in Fletcher Building. Outgoing Coles managing director John Durkan rejected claims that it had been increasing prices in an attempt to boost margins, noting that it cut the price of 500 products during the March quarter.

Data from Dealogic shows that $US32.8bn ($A42.3bn) worth of mergers and acquisitions have been announced in Australia so far in 2018. Neil Pathak of Gilbert + Tobin says M&A activity in the near-term is unlikely to be affected by heightened financial market volatility or concerns about a trade war between the US and China. The law firm also anticipates that shareholder activists will continue to target listed companies.

Atlas facing wipe-out: MinRes

About 15,000 of Atlas Iron’s shareholders own less than $A500 worth of shares in the iron ore producer, with 4,900 owning less than $A20 worth of shares. Mineral Resources CEO Chris Ellison has urged investors with small shareholdings to support his company’s $A280m takeover bid, warning that they will be left with worthless stock if Atlas collapses. He has questioned whether Atlas can survive if the takeover deal does not proceed.
