Premier Investments’ chairman Solomon Lew would become the biggest shareholder in Myer Holdings if a proposed deal to acquire the former’s Apparel Brands division proceeds. Myer has approached Premier Investments with the all-scrip deal, which would result in the department store group acquiring brands such as Just Jeans, Jay Jays and Portmans. Premier would in turn distribute the Myer shares to its stockholders. Myer’s executive chair Olivia Wirth says it is looking at both organic and inorganic investment opportunities.

Store sales may save mega deal

The Australian Competition & Consumer Commission has indicated that it has major concerns regarding Chemist Warehouse’s proposed $8.8 billion merger with Sigma Healthcare. The ACCC is particularly worried about the impact on smaller pharmacies that are supplied by Sigma in its role as a wholesaler. In a statement expressing its initial views on the proposed merger, the ACCC indicated that the transaction may lead to increased prices for the goods and services provided by pharmacies, while it could substantially lessen competition in pharmacy retailing. It is possible that Chemist Warehouse may have to sell some of its stores in order to get the ACCC’s approval for the merger.

$4.3b takeover ends 62 years of CSR on ASX

CSR shareholders have approved its $4.3 billion takeover by France-based Saint-Gobain, with their endorsement coming two days after the bid was approved by the Foreign Investment Review Board. The takeover gives Saint-Gobain ownership of brands such as Monier roof tiles, Gyprock plasterboard and Hebel building blocks. Some investors were unhappy about that the low price that Saint-Gobain was paying to secure control of CSR, but chairman John Gillam says the offer price of $9 per share was in the top third of the valuation range in an independent expert’s report.

Alumina bid gets the nod from expert

An independent expert’s report from Grant Samuel has concluded that an all-scrip takeover offer for Alumina is ‘fair and reasonable’. Grant Samuel has indicated that Alcoa’s $4bn bid would deliver a substantial benefit for Alumina shareholders, who will control about 31.6 per cent of the merged group if the deal proceeds. However, the firm notes that Alumina shareholders will lose access to $493m worth of franking credits, although Alumina has not paid a dividend since June 2022. Shareholders are slated to vote on the deal in mid-July.

Anglo unveils radical restructuring plan

Anglo American has announced a major restructuring of its global operations in the wake of a spurned takeover approach from BHP. Anglo American intends to focus primarily on its copper and iron ore assets, and CEO Duncan Wanblad says any potential suitors will have to pay an "enormous amount of money" to acquire the company after the two-year overhaul is completed. Amongst other things, Anglo American will sell its coking coal mines in Queensland, demerge its platinum assets and put the Woodsmith potash project in the UK on hold indefinitely.

Anglo American rejects second, higher BHP takeover offer

BHP CEO Mike Henry says it is disappointing that Anglo American’s board has rejected a revised takeover offer and has not been willing to enter into further discussions. The initial offer had comprised 0.7097 of its shares for every Anglo American share; however, BHP increased this to 0.8132 of its shares last week, valuing the target at $64.4bn. Henry adds that the two companies are a "strategic fit", and the combined group would have a leading portfolio of high-quality assets across a range of commodities.

BHP needs bid lift for Anglo deal

Research house Bernstein says BHP’s takeover bid for Anglo American can secure the target’s support at the right price. BHP’s offer comprises 0.7097 of its shares for every share in Anglo American; this valued Anglo’s shares at Stg25.08 at the time the offer was made. Bernstein analysts suggest that BHP’s bid could succeed if its offer is increased to around Stg29 per share. Anglo American deemed BHP’s initial approach to be "opportunistic", and contended that it significantly undervalues the company’s assets. Anglo American has given BHP a deadline of 22 May to make a firm offer or walk away from the proposed deal.

BHP hunts big game in Africa

BHP’s primary interest in making a takeover bid for Anglo American is the latter’s copper assets, which include the Quellaveco, Los Bronces and Collahuasi projects. The proposed $59.6bn deal would see BHP regain exposure to commodities that it has been seeking to exit for the last decade, such ad diamonds and manganese. BHP has also indicated that it has no desire to hold long-term ownership of Anglo American’s platinum and iron ore assets in South Africa. Nevetheless, BHP is expected to make a sweetened takeover offer for Anglo American. Rivals such as Glencore could also potentially make a bid now that Anglo American is in play.
