Walt Disney Company CEO Bob Iger has ruled out a deal with Comcast to carve up the entertainment assets of 21st Century Fox. Sources have indicated that Fox and Disney are finalising the terms of the latter’s $US71.3bn ($A96.8bn) cash and scrip deal, which has trumped Comcast’s $US65bn cash bid. Fox shareholders are expected to emerge with about 19 per cent of the enlarged Disney via the revised deal, compared with around 25 per cent under its previous scrip-only offer.

Rupert Murdoch’s 21st Century Fox has accepted Walt Disney Company’s revised offer of more than $US70bn for the bulk of its entertainment assets. Disney had originally proposed a scrip-only bid worth $US52.4bn, but it has agreed to allow Fox shareholders to accept a combination of cash and shares. The cash component will be attractive to major Fox shareholders such as the Murdochs, given the capital gains tax implications of a cash-only bid. Disney’s latest offer has trumped Comcast’s $US65bn cash bid.

$86bn bid for Fox ignites Disney fight

US media group Comcast has offered $US35 per share for the bulk of 21st Century Fox’s entertainment assets, valuing its bid at about $US65bn ($A86bn). Fox has advised that it will "carefully review and consider" the cash bid, which has trumped Walt Disney Company’s scrip bid. The Disney offer is valued at $US29.18 per share based on Fox’s current share price. Fox would retain assets such as Fox News and its broadcast TV network if either bid succeeds.

Murdoch beats the bushes for a deal

Netflix has transformed the media industry in a little more than a decade, essentially because of all the content it possesses. It is the desire for more content of their own that is seeing companies such as Amazon and Verizon casting their eyes over the content assets owned by the Murdoch family’s 21st Century Fox. Investors clearly think that the Murdochs are interested in doing some type of deal, with shares in 21st Century Fox having risen by around 18 per cent in the last two weeks.

Jungle king tears into groceries

Robert Luciano of VGI Partners says Australian retailers should be concerned by Amazon’s purchase of grocery retailer Whole Foods. Amazon announced on 16 June 2017 that it will acquire the US grocery retailer for $US13.7 billion ($A18 billion), and that Whole Foods will continue to trade under its current name. Luciano suggests that the purchase represents a major evolvement in Amazon’s business model. Amazon is due to commence operating in Australia in 2018, and it is expected to have a major impact on the earnings of local retailers.

Time Warner is Murdoch’s lost chance

Rupert Murdoch’s 21st Century Fox had the opportunity to acquire Time Warner in 2014 and create a media giant worth $US160bn. Time Warner rejected the $US80bn bid and sought a higher offer, but this would have required 21st Century Fox CEO Chase Carey to remain at the helm at a time when Murdoch was preparing his sons to succeed him. James and Lachlan Murdoch were subsequently appointed CEO and co-executive chairman respectively. The proposed $US85bn ($A112bn) acquisition of Time Warner by AT&T may prompt other mega mergers, but the Murdochs may not be able to pursue such deals without relinquishing control of their media empire.

Are LinkedIn’s business decision-makers Microsoft’s $35billion target audience?

A recent Roy Morgan Single Source survey showed that 24 per cent of Australian workers aged 14+ visit the LinkedIn website. The survey also found that 65 per cent of CEOs, General Managers and Legislators use the career networking site in an average four weeks, followed by Information and Communications Technology professionals (57 per cent) and Business, Human Resource and Marketing Professionals (45 per cent). The value for Microsoft, as it moves away from consumer products toward providing business technology services like cloud platforms and large-scale software subscriptions, is that LinkedIn’s biggest users are not just workers, but business decision-makers: those employees, partners, and business owners responsible for determining their companies’ expenditure across a range of categories – including software and computer services. Roy Morgan’s survey of business decision-makers shows that almost 950,000 Australians made or contributed to decisions in their organisation regarding computer software or online services in the past year – and 38 per cent of them (360,000) use LinkedIn.

US expansion and local relief for BlueScope

Shares in BlueScope Steel closed 10.6 per cent higher at $A4.50 on 26 October 2015, after the group revealed that its Port Kembla steelworks will stay open. BlueScope had previously warned that it would have to close the last blast furnace unless costs were reduced. BlueScope has negotiated a deal with Port Kembla workers which includes a wage freeze and job cuts, while the New South Wales Government will defer payroll taxes for three years. BlueScope will also buy out Cargill’s 50 per cent stake in the North Star mill in the US.

News in $1.1bn US property play

Nasdaq-listed real estate web site operator Move is being acquired by News Corp for $US950m ($A1.08bn). News Corp will own 80% of the business and the remainder is to be held by Australian-listed REA Group, in which News Corp has a 61.6% stake. News Corp CEO Robert Thomson says the company will use its media assets in the US to promote and create synergies with Move, which had revenue of $US227m in 2013-14. The largest share of the online US property classifieds market is held by Zillow, of which Australian James Packer owns 9.4%
