Landbridge Group’s long-term lease on the Port of Darwin is under renewed scrutiny, with Prime Minister Anthony Albanese under growing pressure to act on his election pledge on the issue. Shadow home affairs minister James Patersons says Albanese should use the federal goverment’s constitutional powers to force Landbridge to relinquish its lease if it does not do so willingly on commercial terms. US-based private equity firm Cerberus Capital Management has proposed buying the port lease; Paterson says Cerberus would be an acceptable buyer under Australia’s foreign investment rules.

Packer’s Crown payday set for June 24

The Federal Court has approved the $8.9bn acquisition of Crown Resorts by private equity firm Blackstone. Crown’s major shareholder James Packer will receive about $3.3bn for his stake in the casinos group. The sale of Crown signals the end of a turbulent period for Packer, who was forced to abandon a deal to sell a large stake in Crown to Melco Resorts in 2019. Scrutiny of that deal subsequently result in a NSW Independent Liquor & Gaming Authority investigation into allegations that Crown had breached anti-money laundering laws, and similar probes in Victoria and Western Australia.

US fund Ares in AMP buyout talks

New York Stock Exchange-listed private equity firm Ares Management has been given access to AMP’s data room and is said to be considering a full takeover play. Ares boasts more than $US149bn ($211.3bn) in assets under management, and CEO Michael Arougheti has flagged the potential for acquisitions in the Asia-Pacific region. AMP recently announced a portfolio review, which could result in the sale of all or part of the business. AMP’s market capitalisation is about $4.4bn, based on the stock’s closing price of $1.28 on 29 October.

Blackstone bets big on Australia with $3.1b takeover bid for Investa

US fund manager Blackstone has announced a $A3.1 billion takeover bid for Investa Office Fund, with Investa directors having indicated their support for the offer. Investa’s property portfolio is valued at $A4 billion, with its assets including Barrack Place and Deutsche Bank Place in Sydney. Investa was the subject of an unsuccessful bid by Cromwell Property Group in 2017, while a bid for it by Dexus in 2016 also failed to succeed.

Fairfax Media’s former suitor TPG Capital approached News Corp about on-selling "The Australian Financial Review" if its takeover bid succeeded. The approach is believed to have been made before TPG submitted its first indicative bid for Fairfax, although the private equity firm eventually decided to retain all of Fairfax’s assets. Although TPG was primarily interested in the Domain property listings business, it ultimately submitted a $A2.7bn bid for the whole of Fairfax.

Lone Star joins pack tuning into Ten

About nine potential buyers of the Ten Network have obtained an information memorandum and signed a non-disclosure agreement. They are believed to include US private equity firm Lone Star Funds, which boasts some $US70bn ($A87.7bn) worth of assets under management. Oaktree Capital Management, hedge fund Anchorage Capital and CBS Corporation have also expressed interest in buying Ten. Indicative bids for the failed network must be submitted by late August.

Fairfax dives as suitors vanish

Fairfax Media has advised that its 2016-17 EBITDA will be within the range of $A262m to $A266m, compared with $A283.3m previously. Group revenue will be six per cent lower, although the Domain property listings business has posted revenue growth of 10 per cent. Fairfax shares fell sharply on 3 July after the media group ended talks with private equity suitors TPG Capital and Hellman & Friedman. Fairfax will now proceed with the demerger of Domain before the end of 2017, although it will retain a majority stake.

Private equity walks away from Fairfax

TPG Capital will not proceed with a $A2.7bn bid for Fairfax Media after undertaking due diligence. Rival private equity suitor Hellman & Friedman had not submitted a binding bid by the deadline of 30 June, and Fairfax CEO Greg Hywood has indicated that the media group will now press ahead with its proposal to spin off the Domain property listings business. Thorney Investment Group chairman Alex Waislitz supports the demerger plan, and he has previously forecast that Domain’s EBITDA could rise from around $A115m at present to at least $A200m in the future.

Formal bids for Fairfax due in next fortnight with Domain the target

Hellman & Friedman and TPG Capital may seek more time to undertake due diligence on Fairfax Media, although they may submit formal bids by the end of June. Fairfax has also advised that businessmen John Singleton and Mark Carnegie have expressed interest in acquiring its controlling stake in radio stations owner Macquarie Media. They had previously made an approach to buy Fairfax’s radio assets in 2012.

Second bid pleases Fairfax shareholders

Dealogic notes that the two rival bids for Fairfax Media are the largest takeover offers for any publisher worldwide so far in 2017. Allan Gray Australia MD Simon Mawhinney has welcomed Fairfax’s decision to allow TPG Capital and Hellman & Friedman to undertake due diligence. However, neither suitor is likely to make a formal bid before 30 June. TPG Australia boss Joel Thickins has told a Senate committee that the private equity firm will expand the Fairfax business and retain its charter of editorial independence.
